Headin Terms & Conditions

Welcome to Headin, a telehealth platform owned and operated by Aura Health LLC, a Wyoming limited liability company with its principal business address at 30 N Gould St, STE R, Sheridan, WY 82801, USA ("Headin," "Aura Health," "we," "our," or "us").

These Terms & Conditions (the "Agreement" or "Terms") form a legally binding contract between you ("you," "your," "User") and Aura Health LLC regarding your use of our website, headin.co, and all associated features, content, and services we provide (collectively, the "Services").

By creating an account, clicking "I agree," purchasing Services, or otherwise using the Platform, you signify that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must not access or use the Services.

1. Definitions

For clarity in this Agreement:

  • "Platform" means the website headin.co and related services operated by Aura Health LLC.
  • "Providers" are licensed healthcare professionals you may consult through our partner Beluga Health (belugahealth.com).
  • "Pharmacies" are licensed pharmacies affiliated with ChemistryRx (chemistryrx.com) that may dispense prescription medications prescribed by Providers.
  • "Consultation" means an interaction with a Provider via the Platform, including intake forms, messaging, video calls, and follow-ups.
  • "Subscription" means any recurring billing plan for ongoing delivery of products, medications, or services.
  • "You" refers to the individual using the Platform.

2. Eligibility

  • You must be at least 18 years old and legally capable of entering a binding agreement to use the Services.
  • The Services are intended for individuals physically located in the United States. You may not access or use the Services from jurisdictions where such use is unlawful or restricted.
  • By using the Services, you represent that the information you provide is truthful, accurate, and complete. Misrepresentation of age, identity, or health information may result in suspension or termination of your account.

3. Our Role

Aura Health LLC is not a healthcare provider, pharmacy, or insurance company.

  • We facilitate your connection to licensed Providers through Beluga Health and to licensed Pharmacies through ChemistryRx.
  • We do not control or influence the clinical judgment of Providers or the dispensing practices of Pharmacies.
  • Providers and Pharmacies are independent contractors, not employees or agents of Aura Health.
  • Aura Health's role is limited to providing a technology platform, payment processing, and customer support.

4. Doctor–Patient Relationship

  • A doctor–patient relationship is established only when you consult with a licensed Provider through Beluga Health.
  • Aura Health LLC itself does not practice medicine or pharmacy. We are not responsible for medical advice, diagnosis, or treatment decisions made by Providers, nor for medication dispensed by Pharmacies.
  • Providers may decline to treat you, prescribe medications, or continue care if they determine, in their sole professional judgment, that you are not a suitable candidate for telehealth services.

5. Medical Disclaimers

  • Emergency Use: The Services are not suitable for medical emergencies. If you believe you are experiencing a medical emergency, call 911 immediately.
  • No Guarantee of Prescription: Providers may determine that medication is not medically appropriate. Aura Health cannot guarantee that you will receive a prescription.
  • Limitations of Telehealth: Telehealth may not be appropriate for all conditions. Providers may refer you to in-person care.
  • Treatment Risks: Prescription medications carry risks, including potential side effects and drug interactions. It is your responsibility to disclose complete medical and medication histories to Providers.

6. Subscriptions, Orders & Billing

  • Orders: If a Provider prescribes medication, it may be filled and shipped by ChemistryRx Pharmacies. We make no guarantees regarding fulfillment times. Delivery dates are estimates only.
  • Subscriptions: Many medications and treatments are provided on a subscription basis. Subscriptions renew automatically until canceled. You authorize recurring charges to your payment method.
  • Cancellation: You may cancel through your account dashboard. To avoid being charged for the next cycle, cancellations must be made at least 48 hours before the scheduled renewal.
  • Failed Payments: If payment cannot be processed, we may suspend or terminate your access. You remain responsible for unpaid balances.
  • Refunds: Due to legal restrictions, prescription medications may not be returned once dispensed. Refunds for services, if any, will follow our published Refund Policy.

7. Financial Responsibility & Insurance

  • You are solely responsible for payment of all fees charged for Services.
  • Services are cash-pay only and are not covered by Medicare, Medicaid, or private insurance.
  • By using the Services, you acknowledge that you may not seek reimbursement from insurance providers.

8. Promotions & Referral Programs

  • Promotions, coupons, or referral credits are offered at our discretion and subject to separate terms.
  • Promotional offers may not be combined unless explicitly stated.
  • We reserve the right to revoke or refuse promotions in cases of suspected abuse, fraud, or violation of these Terms.

9. Account Management

  • You agree to maintain the confidentiality of your login credentials.
  • You are responsible for all activity conducted under your account.
  • You must promptly notify us at hello@headin.co of unauthorized use.
  • We may suspend or terminate accounts that violate these Terms.

10. Privacy & Data Use

  • Your use of the Services is subject to our Privacy Policy, which is incorporated by reference.
  • We may share your personal and health information with Providers and Pharmacies to deliver care and medication.
  • We comply with applicable laws, including HIPAA, where required. However, not all data you provide may be protected health information under HIPAA.
  • You consent to communications via email, SMS, phone, and secure messaging related to your care.

11. Communications & Notifications

  • You agree to receive transactional communications and health-related notifications electronically.
  • You are responsible for reviewing messages promptly. Delayed responses may affect treatment outcomes.
  • We are not responsible if you fail to monitor or respond to Provider communications.

12. Intellectual Property

  • All content on the Platform—including text, software, logos, designs, trademarks, and graphics—belongs to Aura Health LLC or its licensors.
  • You may not copy, distribute, reverse engineer, or create derivative works without written consent.
  • Unauthorized use of our intellectual property may result in legal action.

13. Acceptable Use

You agree not to:

  • Provide false or misleading information.
  • Use the Services for any unlawful purpose.
  • Interfere with or disrupt the Platform.
  • Attempt to gain unauthorized access to accounts, servers, or systems.
  • Harass, abuse, or harm Providers, customer support staff, or other users.

14. Disclaimers of Warranties

  • The Services are provided "as is" and "as available."
  • We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that the Services will be uninterrupted, secure, or error-free.

15. Limitation of Liability

  • To the maximum extent permitted by law, Aura Health LLC, Providers, and Pharmacies are not liable for indirect, incidental, or consequential damages.
  • Our liability is limited to the greater of (a) the amount paid by you to us in the past 12 months, or (b) $100.
  • These limitations apply to all claims, whether based in contract, tort, statute, or otherwise.

16. Indemnification

You agree to indemnify and hold harmless Aura Health LLC, its affiliates, Providers, and Pharmacies from any claims, damages, or costs arising from:

  • Your use of the Services,
  • Your violation of these Terms,
  • Your negligent or unlawful conduct.

17. Dispute Resolution & Arbitration

  • Arbitration Agreement: Except for small claims, any dispute will be resolved exclusively through binding arbitration administered under the Federal Arbitration Act.
  • Waiver: You waive any right to a jury trial or to participate in class actions.
  • Opt-Out: You may opt out of arbitration within 30 days of accepting these Terms by sending written notice to hello@headin.co.
  • Venue: Arbitration will occur in Sheridan, Wyoming, unless otherwise agreed.

18. Termination

  • We may suspend or terminate your account at any time if you violate these Terms, misuse the Services, or engage in fraudulent conduct.
  • Termination does not relieve you of responsibility for outstanding payments.
  • Upon termination, provisions that by their nature should survive (e.g., indemnity, limitations of liability) will remain in effect.

19. Governing Law

These Terms are governed by and construed under the laws of the State of Wyoming, without regard to conflicts of law principles.

20. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement.
  • Severability: If any provision is unenforceable, the remainder remains valid.
  • Waiver: Failure to enforce any term does not waive our rights.
  • Assignment: You may not assign these Terms without our prior consent.
